Pre-Acquisition Due Diligence (US)

A Private Equity client was considering acquisition of a multi-state company that manufactures new stainless steel milk, sanitary and chemical tank trailers and aluminium pneumatic dry bulk tank.  Facilities were on both leased and owned land.  SLR provided pre-acquisition due diligence and post closure services.

Project Objectives:

SLR provided the client with strategic considerations with respect to preparation of bid submittal for the companies; complete pre-closing due diligence after the client was awarded the bid, and bracketing of  financial exposures and summary of environmental risk exposure to be used during negotiation of purchase price and the terms and conditions in the purchase agreement.

Our Role

SLR undertook the following works:

  • Reviewed prior environmental reports and documents for information to formulate a strategy allowing the client to leverage available information in preparing a more responsive bid submittal.
  • Subsequent to the client being awarded the bid, SLR conducted site inspections, interviews and other field activities in completing of environmental due diligence.
  • Worked with the client’s insurance and legal team members to definitively identify the upper financial exposure and work with the facilities post-closing to bring the identified environmental matters to closure.
